QUAKELOGIC WEBSITE TERMS OF USE

These Website Terms of Use (the “Terms”) are a legally binding agreement between you and QuakeLogic Inc., a California corporation with its principal place of business at 2008 Opportunity Dr. Suite 130, Roseville, CA 95678, USA (“QuakeLogic”, “we”, “us” or “our”). They govern your access to and use of quakelogic.net and every other website, page, portal, form, download and online service that we operate and that links to these Terms (together, the “Site”).

1. ACCEPTANCE OF THESE TERMS

By accessing, browsing or using the Site in any way, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, you must not use the Site. If you use the Site on behalf of a company, institution or government agency, you represent that you are authorised to bind that organisation, and “you” includes that organisation.

2. CHANGES TO THE SITE AND TO THESE TERMS

We may change, suspend or discontinue any part of the Site at any time without notice. We may also revise these Terms from time to time. The revised Terms will be posted on the Site with a new effective date, and material changes will additionally be announced by a notice on the Site or by e-mail where we hold your address. Your continued use of the Site after the effective date of a revision constitutes your acceptance of the revised Terms. No other amendment of these Terms is effective unless made in a written document signed by an authorised officer of QuakeLogic.

3. RELATIONSHIP TO OTHER AGREEMENTS

These Terms govern use of the Site only. Every quotation, order, purchase, rental, lease, repair, installation, training, subscription or other supply of products, software or services by QuakeLogic is governed exclusively by the QuakeLogic Inc. Terms and Conditions of Sale and, where applicable, by a signed written agreement, a software licence agreement or the terms of our online store. If these Terms conflict with any of those documents, that document prevails for the matter it covers.

4. ELIGIBILITY

The Site is intended for business, academic, research and government users and for individuals who are at least 18 years old (or the age of majority where they live). The Site is not directed to children. We do not knowingly collect personal information from anyone under 13 years of age; see our Privacy Policy for details.

5. ACCOUNTS, PORTALS AND LOG-IN AREAS

Some areas of the Site (for example the partner portal and the QuakeLogic Notification Service) require registration. You agree to provide accurate and complete information, to keep it current, to keep your credentials confidential and to notify us immediately at support@quakelogic.net of any unauthorised use. You are responsible for all activity under your account. We may suspend or terminate any account at any time, with or without notice, if we reasonably believe these Terms have been breached or that an account presents a security risk. Access to restricted areas may additionally be subject to a non-disclosure, partner or subscription agreement, which prevails over these Terms for that area.

6. EARTHQUAKE NOTIFICATION SERVICE AND TEXT-MESSAGE ALERTS

Where we offer earthquake, vibration or other event notifications by e-mail, text message (SMS) or otherwise (the “Notification Service”), the following applies in addition to the rest of these Terms:

• The Notification Service is provided for general information and convenience only. It is not a life-safety, early-warning, emergency-alert or structural-safety system and must never be relied on as one. Always follow official guidance from government emergency-management agencies.
• Notifications depend on third-party data sources (such as public seismic networks), telecommunications carriers and internet infrastructure that we do not control. We do not promise that any notification will be sent, delivered, delivered on time, complete or accurate, or that the service will be uninterrupted or error-free.
• By enrolling a mobile number you consent to receive automated text messages at that number. Message frequency varies with seismic activity. Message and data rates may apply. Reply STOP to cancel at any time and HELP for help, or contact us at support@quakelogic.net. Consent to receive text messages is not a condition of purchasing any product or service.
• You may enrol only numbers and addresses that you own or are authorised to enrol.

7. PRODUCT INFORMATION, SPECIFICATIONS AND PRICING

Product descriptions, datasheets, specifications, images, videos, drawings, case studies, prices, delivery times and availability shown on the Site are provided for general information only, may contain typographical or technical errors, and may be changed or withdrawn at any time without notice. Nothing on the Site is a binding offer, quotation, warranty or representation. A binding order exists only when QuakeLogic issues a written quotation or order acknowledgment under the Terms and Conditions of Sale. Material on the Site does not constitute engineering, seismic-design, safety, legal or regulatory advice, and you must not rely on it as a substitute for the advice of a qualified professional or for your own verification of suitability for a particular purpose.

8. INTELLECTUAL PROPERTY AND LIMITED LICENCE

The Site and all of its content, including text, graphics, logos, icons, images, photographs, video, audio, datasheets, manuals, drawings, software, firmware, source and object code, data compilations, page design and the selection and arrangement of all of the foregoing (the “Content”), are owned by QuakeLogic or its licensors and are protected by United States and international copyright, trademark, patent, trade-secret and other intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to view the Site and to download or print Content solely for your own internal business, educational or personal evaluation of QuakeLogic products and services. You may not otherwise copy, reproduce, modify, translate, create derivative works from, publish, distribute, sell, license, frame, scrape, mirror or exploit any Content without our prior written consent. All rights not expressly granted are reserved. Any software, firmware or data made available for download is additionally subject to the licence that accompanies it.

9. TRADEMARKS

QUAKELOGIC, the QuakeLogic logo and the names of QuakeLogic products and services are trademarks or registered trademarks of QuakeLogic Inc. All other trademarks, product names and company names appearing on the Site are the property of their respective owners, which are not affiliated with, sponsored by or endorsed by QuakeLogic unless stated. Nothing on the Site grants any licence to use any trademark without the written permission of its owner.

10. ACCEPTABLE USE

You agree not to, and not to permit anyone else to: (a) use the Site in violation of any applicable law, regulation or third-party right; (b) access or attempt to access any account, system, network or data without authorisation, or probe, scan or test the vulnerability of the Site or circumvent any security or authentication measure; (c) introduce viruses, malware or other harmful code; (d) interfere with the operation of the Site or place an unreasonable load on our infrastructure; (e) use robots, spiders, scrapers or other automated means to access or collect Content or data, including for the purpose of training machine-learning or artificial-intelligence models, except for public search engines indexing the Site in accordance with our robots.txt; (f) submit false, misleading or fraudulent information, impersonate any person or misrepresent your affiliation; (g) send unsolicited commercial communications through the Site; or (h) remove or alter any copyright, trademark or other proprietary notice. We may investigate and take any lawful action in response to violations, including blocking access and referring matters to law-enforcement authorities.

11. SUBMISSIONS AND FEEDBACK

Information you submit through the Site (for example contact, quotation, demo and support requests) must be accurate and must not infringe any third-party right. Except for personal information, which is handled under our Privacy Policy, any ideas, suggestions, comments or other feedback you provide are non-confidential, and you grant QuakeLogic a perpetual, irrevocable, worldwide, royalty-free licence to use them for any purpose without obligation to you. Do not send us confidential or proprietary information through the Site unless we have first agreed in writing to receive it.

12. THIRD-PARTY WEBSITES, CONTENT AND SERVICES

The Site contains links to, and embeds content and services provided by, third parties, including map, video, chat, font, analytics and bot-protection services. These are provided for convenience only. We do not control, endorse or assume responsibility for any third-party website, content, product, service or privacy practice, and your use of them is at your own risk and subject to their own terms and policies. Third-party products described on the Site are supplied under their manufacturers’ warranties and documentation.

13. PRIVACY

Our collection and use of personal information through the Site is described in our Privacy Policy. By using the Site you acknowledge that you have read it.

14. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, THE CONTENT, THE NOTIFICATION SERVICE AND ALL OTHER MATERIALS AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED “AS IS”, “AS AVAILABLE” AND “WITH ALL FAULTS”, WITHOUT WARRANTY OF ANY KIND. QUAKELOGIC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION OBTAINED FROM QUAKELOGIC OR THROUGH THE SITE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. Warranties for products you purchase are set out exclusively in the Terms and Conditions of Sale.

15. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL QUAKELOGIC OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR USE, OR FOR PERSONAL INJURY, DEATH OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH THE SITE, THE CONTENT, THE NOTIFICATION SERVICE, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE SAME EXTENT, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US$100). THE FOREGOING LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY LAW, INCLUDING LIABILITY FOR FRAUD, WILFUL MISCONDUCT OR GROSS NEGLIGENCE WHERE SUCH LIMITATION IS PROHIBITED. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages; in those jurisdictions our liability is limited to the greatest extent permitted by law. Liability relating to purchased products is governed exclusively by the Terms and Conditions of Sale.

16. INDEMNIFICATION

You agree to defend, indemnify and hold harmless QuakeLogic and its affiliates, officers, directors, employees, agents, suppliers and licensors from and against all claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Site, your breach of these Terms, your violation of any law or third-party right, or any information you submit through the Site. We may assume the exclusive defence and control of any matter subject to indemnification, in which case you agree to cooperate with us.

17. EXPORT CONTROL AND SANCTIONS

Content, software and technical data available through the Site may be subject to United States export-control and sanctions laws, including the Export Administration Regulations and regulations administered by the Office of Foreign Assets Control. You represent that you are not located in, organised under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions, and that you are not a person listed on any U.S. government restricted-party list. You agree to comply with all applicable export-control and sanctions laws and not to export, re-export or transfer any Content, software or technical data in violation of them.

18. COPYRIGHT COMPLAINTS

We respect the intellectual property of others. If you believe that material on the Site infringes your copyright, please send a notice meeting the requirements of 17 U.S.C. § 512(c)(3) to our designated agent at support@quakelogic.net or by post to QuakeLogic Inc., Attn: Copyright Agent, 2008 Opportunity Dr. Suite 130, Roseville, CA 95678, USA. We may remove allegedly infringing material and terminate the access of repeat infringers.

19. GOVERNING LAW AND VENUE

These Terms, and any dispute or claim arising out of or relating to them or to the Site (including non-contractual disputes), are governed by the laws of the State of California and the federal laws of the United States, without regard to conflict-of-laws principles. You and QuakeLogic agree that any such dispute will be brought exclusively in the state courts located in Placer County, California, or the United States District Court for the Eastern District of California, and you consent to the personal jurisdiction of, and waive any objection to venue in, those courts. QuakeLogic may nevertheless seek injunctive or other equitable relief to protect its intellectual property or confidential information in any court of competent jurisdiction. If you are a consumer resident outside the United States, you may also benefit from mandatory provisions of the law of your country of residence, and nothing in this section deprives you of that protection. The Site is controlled from the United States; we make no representation that the Content is appropriate or available for use in other locations, and you are responsible for compliance with local laws if you access the Site from elsewhere.

20. TIME LIMIT FOR CLAIMS

To the extent permitted by applicable law, any claim or cause of action arising out of or relating to the Site or these Terms must be filed within one (1) year after the claim or cause of action arose, or it is permanently barred.

21. GENERAL PROVISIONS

Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and QuakeLogic regarding use of the Site and supersede all prior understandings on that subject. Severability. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. No waiver. Our failure to enforce any provision is not a waiver of our right to do so later. Assignment. You may not assign these Terms without our written consent; we may assign them to an affiliate or a successor in interest. No third-party beneficiaries. Except as expressly stated, these Terms confer no rights on any third party. Electronic communications. You consent to receive notices from us electronically, and you agree that electronic notices satisfy any legal requirement that communications be in writing. Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control. Headings and language. Headings are for convenience only. These Terms are written in English; any translation is provided for convenience and the English version controls in case of conflict. Survival. Sections 8 through 21 survive any termination of these Terms or of your access to the Site.

This Privacy Policy explains how QuakeLogic Inc., 2008 Opportunity Dr. Suite 130, Roseville, CA 95678, USA (“QuakeLogic”, “we”, “us” or “our”) collects, uses, discloses and protects personal information when you visit quakelogic.net and the other websites, portals and online services that we operate and that link to this Policy (together, the “Site”), when you contact us, request a quotation or demonstration, subscribe to our communications or notification service, or otherwise interact with us in connection with our products and services. Our online store at products.quakelogic.net posts its own privacy notice for purchases made there; this Policy applies to everything else. QuakeLogic is the controller (business) responsible for the personal information described in this Policy.

1. INFORMATION WE COLLECT

Information you give us. When you fill in a contact, quotation, demo, support, download, newsletter or partner form, register for the partner portal or the QuakeLogic Notification Service, chat with us, or correspond with us by e-mail, telephone or post, we collect the information you provide, which may include your name, title, organisation, postal address, country, e-mail address, telephone or mobile number, account password, project or application details, the content of your message and any attachments. We ask you not to send us sensitive or special-category information (such as health, biometric or financial-account data); if you do, we will use it only to respond to you and will delete it when no longer needed.

Information collected automatically. When you use the Site, we and our service providers automatically collect technical information through server logs, cookies and similar technologies, including your IP address, approximate location derived from it (city or country level), browser type and language, operating system, device type, referring page, the pages you view, the links you click, the date and time of your visit and similar usage data.

Information from other sources. We may receive information about you from our distributors and partners, from publicly available sources, from business-information providers, and from the third-party services described in Section 4.

2. HOW WE USE INFORMATION

We use personal information to: (a) respond to your enquiries and provide the information, quotations, demonstrations, downloads and support you request; (b) create and administer accounts and verify your identity; (c) deliver notifications you have subscribed to, including earthquake and event alerts by e-mail or text message; (d) negotiate, enter into and perform contracts, process orders, arrange delivery, installation, training and warranty service, and manage payments and invoicing; (e) send you newsletters, product news, event invitations and other marketing where permitted by law, which you can stop at any time; (f) operate, secure, maintain, analyse and improve the Site and our products and services, including by understanding how the Site is used; (g) detect, prevent and investigate fraud, abuse, security incidents and violations of our terms; (h) comply with legal, tax, export-control, sanctions and other regulatory obligations and respond to lawful requests from public authorities; and (i) establish, exercise or defend legal claims.

3. LEGAL BASES FOR PROCESSING

Where the EU or UK General Data Protection Regulation or a similar law applies, we process personal information on the following bases: performance of a contract or steps at your request before entering into one (purposes (a), (b), (c) and (d)); our legitimate interests in running, protecting and promoting our business, provided those interests are not overridden by your rights (purposes (a), (e) where consent is not required, (f), (g) and (i)); your consent, which you may withdraw at any time (text-message alerts, non-essential cookies and marketing where consent is required); and compliance with legal obligations (purpose (h)).

4. COOKIES, ANALYTICS AND THIRD-PARTY TECHNOLOGIES

The Site uses cookies and similar technologies. Strictly necessary technologies keep you signed in, remember form state, protect forms against abuse (Google reCAPTCHA and our own CAPTCHA) and secure the Site. Analytics technologies (Google Analytics and Google Tag Manager) help us understand how the Site is used; we have configured these services not to be used for advertising. Functional technologies are set by embedded services we use on some pages, including Google Maps (location maps), Tidio (live chat), YouTube and Vimeo (video), Google Fonts and public content-delivery networks (page assets). These providers may receive your IP address and technical data and may set their own cookies, which are governed by their privacy policies, including Google’s at policies.google.com/privacy.

You can control cookies through your browser settings, including blocking or deleting them, although parts of the Site may then not work properly. You can opt out of Google Analytics with the browser add-on available at tools.google.com/dlpage/gaoptout. Where the law requires your consent for non-essential cookies, we will ask for it before setting them. We treat a Global Privacy Control signal as a request to opt out of any sale or sharing of personal information; because we do not sell or share personal information for cross-context behavioural advertising, no further action is needed. We do not otherwise respond to browser “Do Not Track” signals, for which no industry standard exists.

5. TEXT-MESSAGE (SMS) NOTIFICATIONS

If you enrol a mobile number in the QuakeLogic Notification Service or otherwise agree to receive text messages from us, you consent to receive automated informational text messages at that number, delivered through our messaging provider (Twilio Inc.). Message frequency varies with seismic activity and your settings. Message and data rates may apply. You can stop at any time by replying STOP, and get help by replying HELP or e-mailing support@quakelogic.net. Consent is not a condition of purchase. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing to subcontractors in support services, such as customer service and message delivery, is permitted. All other categories of sharing exclude text-messaging originator opt-in data and consent; this information will not be shared with any third parties.

6. HOW WE DISCLOSE INFORMATION

We do not sell personal information, and we do not share it for cross-context behavioural advertising. We disclose personal information only as follows:

• Service providers that process information on our behalf and under contractual confidentiality and data-protection obligations, including web hosting and e-mail providers, text-message and telecommunications providers, live-chat, analytics, bot-protection, mapping and video providers, customer-relationship and accounting software, payment processors, freight carriers and customs brokers, and professional advisers.
• Distributors, partners and manufacturers where needed to answer your enquiry, quote or supply a product in your territory, or to honour a manufacturer’s warranty, and in each case only the information needed for that purpose.
• Legal and safety purposes: to comply with law, regulation, legal process or an enforceable governmental request (including export-control and sanctions screening); to enforce our terms and agreements; and to protect the rights, property or safety of QuakeLogic, our customers or others.
• Business transfers: in connection with a merger, acquisition, financing, reorganisation or sale of all or part of our business, in which case this Policy continues to apply to your information until it is amended.
• With your direction or consent, including when you ask us to share information with a third party.

7. INTERNATIONAL TRANSFERS

QuakeLogic is located in the United States and processes information there, and our service providers may process it in other countries. These countries may not provide the same level of data protection as your country. Where we transfer personal information from the European Economic Area, the United Kingdom, Switzerland or another jurisdiction with transfer restrictions, we rely on lawful transfer mechanisms such as the European Commission’s Standard Contractual Clauses or the UK International Data Transfer Addendum, or on your explicit consent or the necessity of the transfer to perform a contract with you. You may request a copy of the relevant safeguards by contacting us.

8. HOW LONG WE KEEP INFORMATION

We keep personal information only as long as needed for the purposes described in this Policy, as required by law, or as necessary to establish, exercise or defend legal claims. In general: enquiry and quotation records are kept for up to three years after our last contact with you; records relating to orders, contracts, warranties, invoices and payments are kept for the life of the contract or warranty and for the period required by tax, accounting, export-control and product-liability law (typically seven to ten years); account information is kept while your account is active and for a short period after it is closed; marketing-subscription records are kept until you unsubscribe, after which we keep a suppression record so that we respect your choice; text-message consent records are kept as required by messaging regulations; and server logs are kept for up to twelve months. When information is no longer needed we delete or anonymise it.

9. SECURITY

We use administrative, technical and physical safeguards designed to protect personal information against unauthorised access, loss, misuse, alteration or destruction, including encrypted transmission (HTTPS), access controls, firewalls and restricted internal access. No method of transmission or storage is completely secure, so we cannot guarantee absolute security. If we become aware of a breach affecting your personal information, we will notify you and the competent authorities as required by applicable law.

10. YOUR RIGHTS AND CHOICES

Depending on where you live, you may have the right to: access the personal information we hold about you and receive a copy; have inaccurate or incomplete information corrected; have information deleted; restrict or object to certain processing, including processing for direct marketing; receive your information in a portable format; withdraw consent at any time, without affecting processing that occurred before withdrawal; not be subject to a decision based solely on automated processing that produces legal or similarly significant effects (we do not make such decisions); and lodge a complaint with a data-protection supervisory authority. To exercise any right, contact us using the details in Section 15. We will verify your identity before acting on a request, may ask for additional information to do so, and will respond within the time required by law. You may authorise an agent to make a request on your behalf, in which case we may require proof of the authorisation and verification of your identity. We will not discriminate against you for exercising your rights. If we decline a request, we will explain why, and you may appeal by replying to our decision. You can unsubscribe from marketing e-mail at any time using the link in each message or by contacting us, and from text messages by replying STOP.

11. ADDITIONAL INFORMATION FOR CALIFORNIA RESIDENTS

This section supplements the Policy for California residents under the California Consumer Privacy Act as amended by the California Privacy Rights Act (“CCPA”). In the preceding twelve months we have collected the following categories of personal information: identifiers (name, postal address, e-mail address, telephone number, IP address, account credentials); customer-records information (organisation, title, billing and shipping details); commercial information (products considered or purchased, quotations, orders, warranty history); internet or other network activity (browsing, usage and device data); approximate geolocation derived from IP address; professional or employment-related information (employer, job title); and inferences drawn from the foregoing to understand your product interests. We collect this information from the sources, use it for the business and commercial purposes, and disclose it to the categories of service providers and third parties described in Sections 1, 2 and 6. We do not sell personal information, do not share it for cross-context behavioural advertising, do not use or disclose sensitive personal information other than as permitted by the CCPA, and have no actual knowledge of selling or sharing the personal information of consumers under 16. California residents have the rights to know, access, correct and delete personal information, to opt out of sale or sharing, to limit the use of sensitive personal information, and to non-discrimination, exercisable as described in Section 10. California Civil Code section 1798.83 (the “Shine the Light” law) permits California residents to request information about disclosures of personal information to third parties for their direct-marketing purposes; we do not make such disclosures.

12. ADDITIONAL INFORMATION FOR THE EEA, UNITED KINGDOM AND SWITZERLAND

QuakeLogic Inc. is the controller of your personal information. The legal bases for our processing are set out in Section 3 and international transfers in Section 7. In addition to the rights in Section 10, you have the right to lodge a complaint with the supervisory authority of your habitual residence, place of work or place of the alleged infringement (in the United Kingdom, the Information Commissioner’s Office; in Switzerland, the Federal Data Protection and Information Commissioner).
